Terms of Service
1. Acceptance of Terms
By accessing or using the Wayline platform (“Platform”) operated by Isomer Holdings Limited (“Wayline”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Definitions
“Landlord” means any building owner, freeholder, managing agent, or authorised representative who registers a building on the Platform. “Operator” means any telecoms or infrastructure operator who submits wayleave requests through the Platform. “Agreement” means a wayleave agreement generated and signed through the Platform. “Processing Fee” means the fee set by the Landlord and paid by the Operator upon successful completion of an Agreement.
3. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorised use.
4. Platform Use
The Platform facilitates the creation, negotiation, and execution of wayleave agreements between Landlords and Operators. Wayline provides tools including AI-powered RAMS review, agreement generation, digital signatures, and fee collection. Wayline is not a party to any wayleave agreement between Landlords and Operators.
5. Fees and Payment
Landlord subscription fees are charged monthly or annually as selected at the time of purchase. Operators access the Platform free of charge. Processing Fees are collected from Operators via Stripe when an Agreement is signed. Wayline retains 20% of each Processing Fee as a platform fee; the remaining 80% is deposited to the Landlord’s designated bank account. All prices are in GBP and exclusive of VAT where applicable.
6. Wayleave Agreements
Agreements generated through the Platform are between the Landlord and the Operator. Wayline provides standardised templates but does not provide legal advice. Both parties are responsible for reviewing agreement terms before signing. Electronic signatures on the Platform are legally binding under the Electronic Communications Act 2000.
7. AI RAMS Review
The AI-powered RAMS review is provided as an assistive tool only. It does not replace professional health and safety assessment. Landlords and Operators remain responsible for ensuring compliance with all applicable health and safety regulations.
8. Intellectual Property
All Platform content, design, and technology are owned by Isomer Holdings Limited. You retain ownership of data you upload. By using the Platform, you grant Wayline a licence to process your data as necessary to provide the service.
9. Limitation of Liability
To the maximum extent permitted by law, Wayline’s total liability for any claim arising from use of the Platform shall not exceed the amount you have paid to Wayline in the 12 months preceding the claim. Wayline is not liable for any indirect, incidental, or consequential damages.
10. Termination
You may close your account at any time. Wayline may suspend or terminate accounts that violate these Terms. Upon termination, your right to use the Platform ceases. Existing signed Agreements remain in effect between the relevant parties.
11. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use after changes constitutes acceptance.
